The paper is devoted to the characterization of all possible scattering matrices occurring in a dissipative Lax-Phillips scattering theory. The characterization is obtained in terms of an analytically unitary synthesis of a strongly measurable contraction-valued function which generalizes the notion of Darlington synthesis. The content of the paper is closely related to a similar paper of C. Foias.
